Terms of Service

Aviy provides an AI-powered document and invoicing platform that enables users to create, customise, send, and manage business documents. The Services include:

• Free Generator: Create invoices, estimates, quotes, credit notes, receipts, and purchase orders using AI text prompts or manual editing. Download as PDF and share via email, WhatsApp, Telegram, Slack, Discord, Messenger, iMessage, or magic link. No account required.
• Aviy Account: Registered accounts with cloud storage, client management, payment tracking, recurring subscriptions, team collaboration with role-based permissions, projects, analytics, email delivery tracking, groups, CSV import, automated payment reminders, late-fee handling, and custom branding.
• Mobile Apps: iOS and Android apps with push notifications for client views, payments received, document requests, and reminder events. App Store / Play Store subscriptions are processed by Apple and Google respectively.
• Online Payments: Integration with Stripe and PayPal for collecting payments from your clients, with optional bank-transfer details on documents and a confirmation workflow for offline payments.
• Messaging Channels: Direct delivery of documents to clients over WhatsApp, Telegram, Slack, Discord, Messenger, and iMessage where supported. Each channel is governed by the relevant provider’s terms.

You must be at least 18 years of age to use the Services. By using the Services, you represent that you are at least 18 and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

To access account features, you must create an Aviy account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access

We recommend enabling two-factor authentication (2FA) for additional security.

Free Generator (no account): You may use the invoice generator without an account. Documents created without an account are not stored by Aviy after your session ends. You are responsible for downloading or saving your documents.

Basic Plan (free, account required): Free Aviy account with a saved-document limit. Suitable for occasional use. You can use the Basic plan indefinitely without payment, or upgrade to a paid tier when you need more.

Paid Plans (Starter, Pro, Business): Aviy subscriptions are billed monthly or annually. Yearly billing is offered at the equivalent of two months free relative to monthly. Prices are displayed on our pricing page and may be updated with 30 days’ notice. All prices are in US dollars unless otherwise stated. Subscriptions purchased through the iOS or Android apps are billed by Apple or Google under their respective terms.

Subscription payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

Refunds: We offer refunds on a case-by-case basis. Contact support@aviy.ai within 14 days of a charge to request a refund.

Failed Payments: If a payment fails, we may retry or suspend your access to paid features until the payment issue is resolved.

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access to paid features until the end of your current billing period
• Your data remains stored and accessible; it is not deleted upon cancellation
• You may resubscribe at any time to regain access to paid features
• No partial refunds are issued for unused portions of a billing period

You retain ownership of all content you create using the Services, including invoices, estimates, quotes, credit notes, receipts, purchase orders, and any uploaded files (logos, signatures, attachments).

You grant Aviy a limited licence to store, process, and transmit your content solely for the purpose of providing the Services. We do not use your content for advertising, training AI models, or any purpose unrelated to delivering the Services.

You are solely responsible for the accuracy, legality, and appropriateness of your content, including ensuring your invoices comply with applicable tax laws and regulations in your jurisdiction.

The Services include AI-powered features for generating invoices and documents from natural language descriptions. You acknowledge that:

• AI-generated content is provided as a starting point and may contain errors
• You are responsible for reviewing and verifying all AI-generated documents before sending them to clients
• Aviy does not guarantee the accuracy, completeness, or legal compliance of AI-generated content
• AI prompts are processed to generate documents and are not stored or used for model training

When you connect Stripe or PayPal to collect payments from your clients, you agree to their respective terms of service and privacy policies. Aviy acts as an intermediary and does not process, store, or have access to your clients’ credit card details.

Aviy is not responsible for payment disputes, chargebacks, refunds, or any issues arising from your use of Stripe or PayPal.

You agree not to use the Services to:

• Create fraudulent, misleading, or illegal invoices or documents
• Send spam, phishing, or unsolicited communications
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorised access to the Services or other users’ data
• Interfere with the operation, security, or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services for money laundering, terrorist financing, or sanctions evasion

We reserve the right to suspend or terminate your account for violation of these terms without prior notice.

The Services, including all software, design, branding, and content (excluding your user content), are the property of Aviy and are protected by copyright, trademark, and other intellectual property laws.

The “Aviy” name, logo, and related marks are trademarks of Aviy. You may not use them without our prior written consent.

To the maximum extent permitted by law:

• The Services are provided “as is” and “as available” without warranties of any kind, express or implied
• Aviy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid to Aviy in the 12 months preceding the claim
• We are not liable for any losses arising from inaccurate invoices, failed payment collections, email delivery failures, or tax compliance issues

Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by applicable law.

You agree to indemnify and hold harmless Aviy, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any third-party rights.

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice. For significant changes, we will provide at least 30 days’ notice.

The Services may integrate with or link to third-party services (Stripe, PayPal, AWS, Cloudflare, Xero, QuickBooks). We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, you retain any mandatory consumer protection rights granted by the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

We may update these Terms from time to time. Material changes will be communicated by email or a prominent notice on our website at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
